1. Representations and Warranties

1. You do hereby declare and warrant that you are the copyright owner of the images or products that you provide/submit to the Company (collectively the “User Materials”) to create content such as 3D models (collectively the “User Creations”) through the Services provided by the Company.
2. You represent that you are the sole creator of the User Materials and have the legal right and authority to grant the license set forth in Article 2 below.
3. Your use of the Services provided by the Company and the Company’s performance of its Services (including without limitation the Company's use of and/or taking pictures of the User Materials) shall not violate any law or infringe any rights of any third party (including but without limitation, copyright and other intellectual property rights, trade secret, piracy, plagiarism, idea misappropriation, defamation, privacy right, publicity right or other similar rights) and shall not intimidate, ridicule, undermine or disgrace general public view and morality, and shall not cause public or political scandal or controversy.
4. The rights, title, ownership to any designs and other materials provided by the Company (the “Company Materials”) shall remain the sole property of the Company.

2. License

1. You hereby grant a non-exclusive license to the Company and its agents to use, reproduce, exhibit and distribute the User Materials and the User Creations in whole or in part, in any manner and media now known or hereinafter invented in perpetuity throughout the world, in support of and/or to the Company’s performance of the Services and promote the Services and for archival purposes.

2. Subject to your compliance with the Terms and Conditions, the Company grants a non-exclusive license to you to use the Company Materials to the extent necessary for you to use the result of the Services; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, sell, assign, sublicense, grant a security interest in, transfer or otherwise commercially exploit any right in the Company Materials or the Services.

3. Your rights to use the User Creations are determined by your specific subscription plan, which may include:

   • Commercial Usage Rights: Some subscription plans grant you the right to use the User Creations for commercial purposes, but this may require source attribution.
   • Forgo Attribution Rights: Other subscription plans may allow you to forgo the requirement of providing source attribution, provided that your subscription plan includes commercial usage rights.

   Please refer to the details of your chosen subscription plan in order to be fully informed of your rights to use the User Creations.

3. Indemnification and Notice

1. You shall defend, indemnify and hold the Company and any of its respective officers, directors or employees harmless from and against any third-party liabilities, actions, claims, damages, judgments or expenses, including reasonable, documented outside attorneys' fees and costs (collectively, "Claims") that arise out of or relate to: (a) the User Materials prepared or provided by you in connection with the Services, including, without limitation, and claims of infringement or misappropriation of copyright, trademark, patent, trade secret or other intellectual property or proprietary right, piracy, plagiarism, idea misappropriation, defamation (slander or libel), infringement of the rights of privacy or publicity, or violation of any third party's right; (b) your use of the Services, (c) any defamatory materials in any of the User Materials; (d) any material breach by you of any provisions of the Terms and Conditions, Privacy Policy or Copyright Policy; (e) your negligence or willful misconduct, or (f) your violation of any applicable law.
2. If you believe or find that the User Materials or your use of the Services infringes any third party’s rights or violates any applicable law, you shall notify the Company thereof immediately.
3. If the Company at its sole discretion believes that the User Materials or your use of the Services infringes any third party’s rights or violates any applicable law, it may suspend your use of the Services, delete the User Materials or take other actions necessary to protect the Company.
